1. Introduction & Acceptance of Terms
By accessing our website, executing a consulting agreement, signing a Non-Circumvention, Non-Disclosure Agreement (NCNDA), or registering a software-as-a-service (SaaS) CRM account, you agree to be bound by these Terms & Conditions. If these general terms conflict with a separately executed, signed written agreement between you and Gold Moon Capital Group Inc. ("GMCG"), the terms of the specific signed agreement shall govern only with respect to specific pricing, success fees, and service milestones, while these general terms remain fully binding regarding liability limitations, indemnification, and jurisdiction.
2. Definitions & Interpretation
For the purposes of these Terms & Conditions, the following definitions apply:
"Company," "GMCG," "We," "Us," or "Our" refers to Gold Moon Capital Group Inc., a Wyoming corporation, and its officers, directors, employees, and authorized agents.
"User," "You," or "Your" refers to any individual, business entity, entrepreneur, developer, or legal representative accessing our website, executing a consulting agreement, or utilizing our software services.
"CRM Client" or "Platform User" refers specifically to a User who maintains an active, paid or trial subscription to our branded white-label CRM platform.
"Services" collectively refers to our website, capital sourcing consulting, business growth consulting, and white-label software platform frameworks.
3. General Eligibility
Our Services are exclusively intended for business entities, commercial real estate investors, entrepreneurs, and adults aged 18 or older. GMCG does not provide consumer products or retail financial services. By using our services, you warrant that all activities are undertaken for commercial, business, or investment purposes.
4. Capital Sourcing & Business Growth Consulting Services
Regulatory Disclaimer: GMCG acts strictly as a commercial facilitator, strategic guide, and business growth consultant. We are not licensed or registered broker-dealers with the SEC or FINRA, and we do not raise or broker retail equity for third-party projects where we, or one of our affiliated companies, do not act as direct operators.
No Guarantee of Funding: Sourcing capital depends on independent underwriting variables out of our control. GMCG does not guarantee that any lender, underwriter, institutional fund, or family office will approve, commit to, or fund any project.
Accuracy of Client Portfolios: The user bears 100% sole responsibility for the veracity, legality, and accuracy of all financial files, profit and loss (P&L) statements, tax returns, and project disclosures provided to GMCG. GMCG conducts no forensic audit of client-provided materials and is fully insulated from liability arising from any third-party underwriting reliance on inaccurate data.
5. White-Label CRM Software Terms
"As-Is" Infrastructure: Our branded white-label CRM platform is provided on an "as-is" and "as-available" basis. GMCG relies entirely on third-party software infrastructure providers and aggregators. GMCG is not liable for platform downtime, database degradation, lost data pipelines, text/email communication delivery failures, or carrier filtering. Users are solely responsible for creating external copies or backups of their lead lists and communication histories.
TCPA & Anti-Spam Indemnification: Users utilizing our CRM platform to text or email their leads are acting as the sole Data Controllers and must comply with the Telephone Consumer Protection Act (TCPA), CAN-SPAM Act, and carrier A2P 10DLC registration guidelines.
Pass-Through Liabilities: If GMCG, our upstream infrastructure providers, or our telephony accounts incur regulatory fines, carrier non-compliance penalties (including, but not limited to, T-Mobile/Twilio content or SHAFT violations), or legal fees due to the User's non-compliant, fraudulent, or illegal use of the CRM platform, the user agrees to fully indemnify GMCG. All such fines, standard carrier pass-through assessments, and all associated legal counsel fees will be billed directly back to the user, alongside an additional $250 administrative fee per event for operational labor.
Telephony Billing: Automated text/email re-billing, phone number generation, and carrier registration (A2P 10DLC) incur separate transactional usage charges that are passed through automatically and are 100% non-refundable.
6. Account Security & Prohibited Activities
Users must maintain strict credential security over their platform access keys and passwords. GMCG is not liable or responsible for data leaks, account compromises, or security breaches resulting from weak passwords, shared credentials, or user negligence. You are strictly prohibited from utilizing our platform or consulting networks to execute or distribute fraudulent financing schemes, money laundering, phishing, or malware. Violating these parameters results in immediate account termination, forfeiture of all fees paid, and immediate referral to federal or state regulatory authorities.
7. Limitation of Liability
To the maximum extent permitted by applicable law, under no circumstances shall Gold Moon Capital Group Inc., its officers, directors, or employees, be liable for any indirect, incidental, special, or consequential damages—including, but not limited to, lost profits on real estate transactions, failed business ventures, lost CRM leads, or operational interruptions—arising out of or connected to our Services. The user explicitly waives all rights to third-party indemnification claims against GMCG. The maximum cumulative liability GMCG may provide for any claim across any service segment is strictly capped at the exact amount paid by the user to GMCG for the specific service in question during the immediate three (3) months preceding the event giving rise to liability.
8. Governing Law & Jurisdiction
Gold Moon Capital Group Inc. is a registered Wyoming Corporation. These terms are governed exclusively by and construed in accordance with the laws of the State of Wyoming, without regard to conflict of law principles. Any legal action, dispute, or arbitration arising from these terms or our services must be filed and adjudicated exclusively in the state or federal courts located in Cheyenne, Wyoming. By utilizing our Services, you knowingly, voluntarily, and intentionally waive any right you may have to a trial by jury in respect to any litigation arising out of, under, or in connection with this Agreement.
